Using VirtualPostMail as your FLORIDA Registered Agent

If you are in need of a Registered Agent for your Florida corporation, limited liability company (LLC), or any state-level entity requiring a registered agent, you can designate us as your registered agent for free. We will receive any service of process mail for your business. Follow the steps listed below to learn how to appoint or change your agent to us.

Requirements

You must fulfill these requirements in order to use VPM as your registered agent:

  • You must have a Florida VPM mailbox account in order to use us as your FL Registered Agent. Sign up for a mailbox if you don't have one at our Brandon, FL address.
  • Your account with us must be in good standing.
  • The corporation, LLC, or LP is, or will be, registered with the State of Florida as either a domestic or foreign business entity. Domestic means that FL is the state where your business was initially chartered. Foreign means that your existing business is registered to do business in a state or jurisdiction other than where it was originally incorporated.
  • You must add the business as a recipient to your mailbox account. The business name must match the one that is registered with the state.

Updating Your Registered Agent to VPM for Your Existing Entity

If you have an existing company with another registered agent, please follow the steps below:

  1. Download the Florida Statement of Change of Registered Agent form for your company's business structure:
    1. LLCs
    2. Corporations
  2. Complete the form as indicated.
    1. LLCs
      1. In section 5a, enter the current registered agent information.
      2. Leave section 5b blank. We will fill this out for you.
      3. Submit the completed form to us via email so we can sign it.

    2. Corporations
      1. Leave section 5d blank. We will fill this out for you.
  3. We will return the signed copy back to you and update our records with your company name. 
  4. Once you obtain the signed form from us, you will need to mail it to the address on the form with the required filing fee as indicated in the form.

For New Entities

  1. Every LLC or Corporation is required to indicate the registered agent directly within the initial formation document.
  2. Depending on whether you choose to mail the document or file online, the process is different. 
    • In either case, let us know that you would like to designate us as your registered agent via email. Indicate the company name. Our email address is [email protected].
      • File Online: If you choose this filing method, contact us with your company name and we will let you know the information needed to complete your online application. 
      • File by Mail: Send us your application form with all the information completed on your end except for the registered agent portion. We will complete this portion and sign the form and send it back to you. You can then mail it to the appropriate address with the state fee.

After Switching Your Registered Agent Service to VPM

Once you have formally switched to us, everything works similarly to how we process your regular mail.

  • When we receive formal legal mail, including any litigation notice, we scan it online for you to view and process.
  • You can either ask us to forward the mail or open and scan it. For urgent matters, you may submit a special request to forward mail using Express Mail.

Keep Your Account in Good Standing

If your mailbox is suspended or canceled, we will no longer act as your registered agent. We will file with the state to remove ourselves as your agent. Note that if you do not have a designated registered agent, the State of Florida may suspend your company or revoke your status. So make sure to keep your VPM account in good standing.
